These Terms and Conditions of Use govern access to and use of the website of Finadi Capital Securitizadora de Créditos S.A. (CNPJ 52.781.181/0001-34). By browsing the site, you represent that you have read and agreed to these Terms and to our Privacy Policy.

This English version is a professional translation of the original Portuguese text, intended for human legal review. In case of conflict, the Portuguese text prevails.

1. Nature of the content

1.1. The content of this website is exclusively institutional and educational. Nothing here constitutes a public offering, an offer to sell, a solicitation of an offer to buy, or an investment recommendation in securities, under Law No. 6.385/1976 and CVM Resolution No. 160/2022.

1.2. Finadi Capital issuances are made by private placement, exclusively for previously identified investors with a relationship with the company. The terms of each issuance appear only in the respective Indenture, which prevails over any information on the website.

1.3. Articles, the glossary and other educational content reflect Finadi Capital’s understanding as of the publication date, may contain simplifications and do not replace legal, accounting, tax or investment advice.

2. Registrations

2.1. The noteholder and assignor registration forms are intended to collect information for identification, qualification and review procedures (KYC and AML/CFT).

2.2. Submitting a registration does not create a right to participate in issuances, to acquire credits or to enter into any contract, all of which depend on review and approval by Finadi Capital, at its sole discretion.

2.3. The user represents that the information and documents submitted are true, complete and up to date, accepting civil and criminal liability for their accuracy, and undertakes to report changes.

3. Noteholder Area

The Noteholder Area, when made available, will be restricted to eligible investors, through personal and non-transferable credentials, and may be subject to supplementary terms.

4. Acceptable use

The user may not: (i) use the website for unlawful purposes; (ii) attempt to access restricted areas, systems or data without authorization; (iii) send malicious code or carry out denial-of-service attacks; (iv) collect data by automated means without authorization; or (v) reproduce the content for commercial purposes without prior written authorization.

5. Intellectual property

Trademarks, logos, texts, images, layout and other elements of the website belong to Finadi Capital or the Finadi ecosystem, or are used under license, and are protected by intellectual-property law. Quoting excerpts for informational purposes is permitted, with attribution of the source.

The website may contain links to third-party sites. Finadi Capital does not control and is not responsible for the content, privacy practices or availability of those sites.

7. Limitation of liability

Finadi Capital endeavors to keep the information accurate and the website available, but does not warrant the absence of errors, interruptions or unavailability, and is not responsible for decisions taken solely on the basis of website content.

8. Changes

These Terms may be changed at any time, by publishing the updated version on this page.

9. Governing law and venue

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the District of São Paulo/SP are elected, without prejudice to any different venue required by law.
