Finadi Capital is a securitization company: it acquires credit rights — such as installments of payroll-deducted loans — and issues debentures backed by those credits. We take an active part in originating the assets and give noteholders access to collateral information on each transaction.
Finadi Capital is a stock corporation formed under Law No. 6.404/1976 and operates under Brazil’s securitization framework (Law No. 14.430/2022). Its issuances are made by private placement and, for that reason, are not registered as public offerings with the CVM. The credit operations that make up the collateral are originated by Central Bank–regulated institutions.

Each issuance has the portfolio composition defined in the indenture — credit type, eligibility criteria and substitution rules. Noteholders receive periodic reports and have access to collateral samples, with evidence of documentation of the operations.
We work mainly in payroll-backed credit with security (payroll loans and salary-deducted credit), real-estate project receivables and court-ordered claims.
No. Debentures are not covered by Brazil’s Deposit Guarantee Fund (FGC). Payment depends on the performance of the linked credit rights and on the security provided in the indenture.
In a bank loan, the bank uses its own balance sheet to grant the credit. In securitization, the credits are transferred to a securitization company, which uses them as collateral to issue securities purchased by investors. Risk then depends mainly on the assigned portfolio, not on the originator’s balance sheet.
To bring forward funds it would otherwise receive only in the future, recycle capital for new operations, diversify funding sources and, often, obtain a more efficient cost of funds than traditional bank credit.
Collateral is the pool of credits that supports the issued securities. Because those credits generate the cash flow to investors, their quality — obligor profile, security, documentation and granularity — is the main driver of risk.
It is the mechanism in Law No. 14.430/2022 that segregates an issuance’s credits from the securitization company’s general estate, forming a segregated estate dedicated exclusively to that issuance’s investors.
The trustee, when appointed in the indenture, represents the community of noteholders and monitors the issuer’s compliance with its duties.
Participation in our issuances is restricted to investors with a prior relationship with the company. If you already have that relationship and have been invited to take part, complete noteholder registration for KYC review. Registration is not an offer and does not guarantee participation.
Anti-money-laundering rules (Law No. 9.613/1998) require us to identify and qualify anyone who deals with the company. Documents are treated confidentially, under our Privacy Policy and Brazil’s LGPD.

It depends on the complexity of the asset and the documentation. Recurring transactions in segments we already cover tend to be faster; new structures involve due diligence and a bespoke design.
